USE AGREEMENT

Please read these terms and conditions carefully. By using this website, www.safetyseal.com, or by purchasing products from this website, you agree in full to the terms and conditions set forth below.

North Shore Holdings, LLC / Safety Seal (hereinafter sometimes referred to as “we” or “us”) reserves the right to modify both this website and these terms and conditions at any time and without prior notice. We will not be held liable for the information presented in this website or the misuse of the same. Use of any of the information on this site requires prior written consent from us.

SHIPPING METHOD

We use several shipping companies to reduce shipping costs. We will select the shipper and will attempt to select the best shipping option for your specific address.

FREE SHIPPING ON ORDERS OVER $99.00 INCLUDES STANDARD DELIVERY TO A COMMERCIAL OR BUSINESS ADDRESS IN THE LOWER 48 STATES ONLY. IF YOU DO NOT HAVE A LOADING DOCK AND REQUIRE UNLOADING BY THE TRANSPORTATION COMPANY, A LIFT GATE TO REMOVE THE PRODUCT FROM THE TRANSPORT VEHICLE OR THE ADDRESS PROVIDED IS A RESIDENTIAL ADDRESS, ADDITIONAL CHARGES MAY RESULT. IF ADDITIONAL CHARGES ARE REQUIRED, WE WILL CALL YOU TO DETERMINE PAYMENT METHOD FOR THOSE CHARGES. IF THE ADDITIONAL CHARGES ARE NOT PAID, THE ORDER WILL BE CANCELED AND THE PRODUCT(S) RETURNED TO US.

CHECK ORDER STATUS

We will make every effort to deliver your product to you as quickly as possible. An estimated shipment date will be emailed to you when we receive the order.

A tracking number for the shipment will be emailed to you at the time the order is shipped. This tracking number can be used to check the status of the shipment.

TAXATION ON PURCHASES

We will charge sales tax on sales to you as required by the laws, then in effect, of the applicable country, state, county, and/or city.

YOUR RESPONSIBILITY

You will provide accurate information at the time of purchase to ensure prompt delivery and accurate communication. If the information you provide leads to a delivery delay or reroute, you will be responsible for any additional shipping costs.

By making a purchase from our site you acknowledge that you have full legal capacity and authority to make the purchase and use the chosen payment method.

OUR RESPONSIBILITY

We will fulfill your order as accurately, quickly and cost effectively as possible but under no circumstances will we assume responsibility for any damages arising directly or indirectly from any delays whatsoever including, without limitation, delays in shipping, labor difficulties or delays in our usual sources of supply. No order will be processed until payment for that order has been received and cleared.

If we make an error that results in additional shipping costs, we will pay those additional costs.

We make every attempt to ensure that all information and images on our website is accurate. Should an error occur in the information and images on this website, however, we will not be held liable for any damages you may suffer as a result thereof.

We will ensure that credit card information provided during a purchase is encrypted though SSL protocol (Secure Sockets Layer). The credit card information is visible only by the processing company and no one else, including us, is able to view this information.

PRODUCT WARRANTY

EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS AND CONDITIONS WE PROVIDE NO REPRESENTATIONS OR WARRANTIES TO YOU WITH RESPECT TO THE PRODUCTS AND SERVICES WE MAY PROVIDE YOU INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE OR USE WHETHER OR NOT DISCLOSED TO US.

LIMITATION OF LIABILITY

You agree that in no event shall we be liable for liquidated, incidental, consequential or special damages of any kind and that our maximum cumulative liability for all claims and liabilities, including those with respect to direct damages and any indemnity obligations, whether or not insured, shall not exceed the total cost of the products and services you purchased from us giving rise to the claim or liability. Any action against us must be brought within twelve (12) months after the cause of action accrues. The disclaimers and limitations of liability set forth in these terms and conditions shall apply regardless of any other contrary provisions set forth and regardless of the form of action, whether in contract, tort or otherwise. Each provision in these terms and conditions which provides for a limitation of liability, disclaimer of warranty or condition or exclusion of damages is severable and independent of any other provision and is to be enforced as such.

HOLD HARMLESS

You agree to defend, indemnify and hold us and our officers, owners, governors, agents, servants, employees and insurers harmless from any and all liabilities and expenses including, without limitation, reasonable attorney’s fees, expenses, costs, judgments, settlements, contract losses, damages, injuries (including, but not limited to, liquidated damages) which you may sustain, have assessed against you or incur as a consequence of any litigation, dispute or claim with respect to all or any part of the product and services sold by us to you or anything done or omitted or claimed to have been done or omitted by us or anyone acting for us, including, but not limited to, any claim of injury to person or property by reason of defects or infirmity in any such products and services or damage by reason of the failure of you to perform promptly and satisfactorily your obligations.

RETURN POLICY

All return of products will be subject to our prior approval and will be subject to our return policies in effect at the time, including applicable restocking charges and other conditions of return. All returns must have a Returned Merchandise Authorization (RMA) number provided by us before the return will be accepted. Return shipment will be at your expense and a 15% minimum restocking fee will be applied. Any damage resulting from the return shipment shall be at your expense and you may incur additional charges if we determine the product has experienced unusual wear and tear so please ensure that the product is repackaged carefully before returning. Under no circumstances will a return be considered if the request is made more than ten (10) days from your receipt of the product.

PRIVACY POLICY

We hold your information in strict confidence and will not distribute your information for any reason unless authorized in advance by you or required to do so by law. We reserve the right to contact you occasionally for special offers or new products that may be of interest to you.

Your information will be stored behind a secure network and both the server and website are regularly scanned for security deficiencies or vulnerabilities.

Your credit card information is processed through a secure gateway provider and we do not store nor even see any specific credit card information.

FORCE MAJEURE

We shall not be liable for any loss, damage or delay arising out of our failure to perform due to causes beyond our reasonable control including, without limitation, acts of God, acts of civil or military authority, terrorists threats or attacks, fires, strikes, floods, epidemics, pandemics, quarantine restrictions, war, riots, weather, delays in transportation or transportation embargos. In the event of any such delay, our performance obligations will be extended for that length of time as may be reasonably necessary to compensation for the delay.

GOVERNING LAW

The validity, performance, construction, and effect of these terms and conditions shall be governed by North Dakota law without giving effect to any choice or conflict of law provision and any action based on a sale of product or services by us to you shall be brought exclusively either in a State Court or United States District Court located in Cass County, North Dakota. You hereby waive any objection based on improper venue or forum non conveniens in agreeing and consenting to venue in Cass County, North Dakota and specifically and expressly agree to the exclusive jurisdiction of said Courts.

MISCELLANEOUS

If any provision of these terms and conditions shall be held to be invalid, illegal, or unenforceable, the validity, legality and enforceability of the remaining provisions shall not be affected or impaired thereby. Any waiver of compliance with these terms and conditions must be in a writing executed by you and us. No such waiver by us shall be deemed a waiver of any other term or condition herein nor shall any such waiver apply to any instance other than that to which the waiver is particularly directed. You may not assign your rights and obligations under these terms and conditions without our express written consent. You acknowledge and agree that you have selected the products based upon your own judgment and disclaim any reliance upon any statements or representations made by us other than specifically set forth in these terms and conditions. Headings used in these terms and conditions are for convenience of reference only and shall not be considered in construing these terms and conditions.
